M&A earnout dispute over revenue recognition

A private equity buyer withheld the second-year earnout payment on a roughly $150 million software acquisition, alleging the founders had accelerated revenue recognition on multi-year contracts in the months before closing to inflate the bookings figures the earnout was tied to. A forensic accounting expert reviewed the target's contract files and revenue recognition workpapers against its own stated accounting policy and applicable GAAP standards, rebuilding the revenue schedule contract-by-contract. The expert found that roughly a fifth of the contracts signed in the final quarter before close had been recognized upfront when the underlying terms called for recognition over the service period, inflating pre-close bookings by close to $8 million. That restatement became the basis for the arbitration panel's decision to reduce the earnout payout by a comparable amount.

Post-acquisition working capital adjustment dispute

After closing on a manufacturing business for roughly $80 million, a strategic buyer disputed the seller's closing-date working capital calculation, arguing that obsolete inventory had been included in the balance at full value rather than written down as the purchase agreement required. A purchase price and working capital accounting expert reviewed the inventory aging reports and the seller's historical write-down practices to determine whether the closing balance was prepared consistently with those past practices. The expert found that inventory older than a year, which the seller had historically reserved against at a meaningful discount, had been carried at full book value in the closing statement, overstating working capital by close to $3 million. The finding was adopted largely intact by the independent accountant resolving the post-closing dispute, reducing the amount owed to the seller accordingly.

Lost profits damages in a supply contract breach

A regional food distributor sued a national supplier for terminating a multi-year exclusive supply agreement roughly two years early, seeking lost profits for the remaining contract term. A damages and lost-profits expert built a but-for model using the distributor's own historical sales trends, margin data, and regional market growth rates to project what profits would have been earned had the contract run its course. The expert's model, cross-checked against the performance of comparable distributors who retained similar supply relationships, estimated lost profits at just under $12 million. That figure, and the expert's explanation of the model's assumptions at deposition, became the number both sides used as the settlement anchor.

Shareholder buyout valuation dispute

Two co-owners of a closely held distribution company split acrimoniously, and the departing shareholder challenged the company's calculation of the buyout price under the shareholder agreement, arguing management had inflated normalizing add-backs to depress reported EBITDA. A forensic accounting expert reviewed the add-back schedule against the company's historical financial statements and industry norms for what constitutes a legitimate one-time or non-operating adjustment. The expert found that several years of ordinary recurring marketing and maintenance capital expenditures had been recharacterized as one-time items, understating EBITDA by roughly 15 percent. That adjustment increased the buyout valuation by several million dollars and was largely accepted by the court-appointed appraiser in the final valuation.

Auditor malpractice claim following undetected fraud

After a mid-sized manufacturer discovered that its controller had embezzled funds through fabricated vendor invoices over several years, the company sued its external audit firm for failing to detect the scheme during its annual audits. An accounting and auditing standards expert reviewed the audit firm's workpapers against applicable auditing standards for testing of related-party and vendor transactions. The expert found that the audit team had not performed the vendor confirmation procedures called for by its own audit program in two of the years at issue, a departure from the standard of care that a properly executed audit would have had a reasonable chance of catching. That finding was central to defeating the audit firm's motion for summary judgment and led to a settlement covering a substantial share of the undetected losses.

Franchise royalty underreporting dispute

A restaurant franchisor sued a multi-unit franchisee group, alleging the franchisee had systematically underreported gross sales across roughly 20 locations to reduce royalty payments due under the franchise agreements. A forensic accounting expert reconstructed actual sales using point-of-sale system data, credit card processor statements, and food cost ratios, comparing the reconstructed figures to what had been reported to the franchisor. The expert identified a consistent gap of roughly 6 percent between reconstructed and reported sales across most locations, concentrated in cash transactions, translating into several million dollars in underpaid royalties over the period reviewed. The reconstruction was adopted by the arbitrator as the basis for the royalty shortfall award.

Joint venture cost allocation dispute

Two industrial companies in a manufacturing joint venture disputed the managing partner's allocation of shared overhead costs, with the non-managing partner alleging costs unrelated to the joint venture had been charged against its share of profits. A forensic accounting expert traced a sample of allocated overhead charges back to underlying invoices and time records to determine whether they related to joint venture operations or to the managing partner's other business lines. The expert found that a portion of shared IT and administrative costs had been allocated using a formula that hadn't been updated after the managing partner's other business lines grew substantially, shifting a disproportionate share onto the joint venture. That misallocation was quantified at several million dollars over four years and formed the basis for the negotiated true-up between the partners.

Business interruption insurance claim dispute

Following a fire that shut down a distribution center for several months, the insurer disputed the policyholder's business interruption claim, arguing the claimed lost income overstated what the facility would have earned absent the loss. A forensic accounting and lost-income expert analyzed the facility's pre-loss financial performance, seasonal sales patterns, and the broader company's ability to shift volume to other facilities during the closure. The expert's model, which accounted for partial mitigation through the company's other distribution centers, arrived at a lost-income figure meaningfully lower than the policyholder's initial claim but still substantial. That independently derived figure became the basis both parties used to resolve the claim without proceeding to appraisal.
